Overview

Blue Yonder is seeking an experienced corporate and securities attorney for its corporate and securities legal team to advise the organization on a variety of legal matters pertaining to international and domestic mergers and acquisitions, strategic transactions, corporate governance, entity management, and other general corporate matters. The ideal candidate is an energetic, highly organized self-starter who thrives in a team environment and can work on multiple projects with limited supervision.

Responsibilities

  • Provides legal support relating to various types of strategic transactions, including mergers and acquisitions, divestitures, joint ventures, outsourcing, and inbound and outbound technology licensing.
  • Drafts, reviews and negotiates merger agreements, stock purchase agreements, asset purchase agreements, letters of intent and related agreements.
  • Conducts legal due diligence for M&A and strategic transactions and advises the business on risks and assists with legal aspects related to integration activities.
  • Assists with corporate governance matters for all Blue Yonder legal entities, including the preparation of entity formation and dissolution documents, charter documents, operating agreements, board resolutions, board meeting minutes, stockholder meeting minutes, board consents, and stockholder consents.
  • Drafts, negotiates and reviews various types of transactional legal documents and commercial contracts, including purchase agreements, joint venture agreements, consulting agreements, outsourcing agreements, software-as-a-service (SaaS) agreements, licensing agreements, software development agreements, embedded technology agreements and other technology related agreements.
  • Conducts legal research and provides legal advice with respect to regulations and other requirements related to being a subsidiary of a publicly traded Japanese corporation.
  • Collaborates with other members of the legal department and business with respect to issues that require subject matter expertise.
  • Provides training on pertinent legal matters to Blue Yonder associates.
  • Performs special projects in support of the legal team's goals and initiatives.

Qualifications

  • Minimum of 3 to 5 years of corporate/M&A/ securities experience at a top-tier law firm and/or in-house legal position
  • Experience with US securities laws (including private placements and public offerings).
  • Excellent written/verbal communication, presentation, and negotiation skills, with ability to draft, review and negotiate complex agreements.
  • Experience drafting and negotiating technology contracts, such as software licenses, software-as-a-service (SaaS) agreements, software development agreements, and IT professional services, preferred but not required.
  • Strong analytical and problem-solving skills with the ability to provide pragmatic legal advice that factors in business objectives.
  • Detail oriented with excellent organizational skills and the ability to manage multiple transactions and competing priorities in a fast-paced, fluid, and deadline-driven environment.
  • Self-starter, collaborative team player, good judgment, ability to work with limited direction, and creativity.
  • Entrepreneurial mindset with willingness to take ownership of projects.
  • Juris Doctor degree from accredited law school.
  • Member in good standing of at least one state bar.

The pay range for this position is $152,311.00 to $197,689.00 USD.

The salary range information provided, reflects the anticipated base salary range for this position based on current national data. Minimums and maximums may vary based on location. Individual salary will be commensurate with skills, experience, certifications or licenses and other relevant factors. In addition, this role will be eligible to participate in either the annual performance bonus or commission program, determined by the nature of the position.
